These terms govern use of this website and service enquiries with Zenith Monitoring.

1. Acceptance of these terms

By using this website or engaging Zenith Monitoring for services, you agree to these Terms of Service. If you do not agree, do not use the website.

2. Who we are

Zenith Monitoring provides one-off IT monitoring setup and configuration services for business clients in Northern Ireland and across the UK.

3. Scope of website information

Content on this website is for general information only and does not constitute technical, legal, or financial advice. Service descriptions, timelines, and examples are indicative unless expressly confirmed in writing.

4. Service engagement and contract formation

No binding service contract is formed solely by website use or contact form submission. A binding engagement is created only when both parties agree written commercial terms (for example proposal, statement of work, quote, or engagement letter).

5. Client responsibilities

  • Providing accurate and timely information
  • Maintaining appropriate permissions and licences for systems to be monitored
  • Ensuring internal approvals for access and change activities
  • Maintaining backups and business continuity arrangements

6. Third-party software and Checkmk

Our services may include implementation/configuration of third-party software, including Checkmk (open-source monitoring software).

  • Third-party software is subject to the relevant third-party licences and terms.
  • Zenith Monitoring is an independent service provider and is not Checkmk GmbH.
  • Unless specifically agreed, we do not provide warranties on behalf of third-party software vendors.
  • We configure software based on agreed project scope and reasonable professional skill and care.

7. Data location and processing context

Where Checkmk is deployed in your environment, monitoring data is generally stored and controlled by you in that environment. Zenith Monitoring access is limited to agreed project delivery, support, or change activities.

If a project requires hosted, external, or integrated services that transfer data outside your environment, this must be agreed in writing.

8. Fees and payment

Fees, invoicing schedules, and payment terms are defined in your project-specific written agreement. Unless otherwise stated, fees are exclusive of VAT and taxes where applicable, and late payment may result in suspension of work.

9. Change requests

Work outside the agreed scope may require a written change request and additional fees. We will not proceed with out-of-scope work without written agreement.

10. Intellectual property

Pre-existing intellectual property remains with the original owner. Subject to full payment, client-specific deliverables are licensed/transferred as set out in the project agreement. Third-party software and open-source components remain subject to their own licences.

11. Confidentiality

Each party agrees to keep the other's confidential information secure and to use it only for the project purpose, except where disclosure is required by law.

12. Warranties and disclaimers

We provide services with reasonable care and skill. However, we do not guarantee uninterrupted operation or fault-free performance of monitoring systems, and monitoring setup reduces risk but does not eliminate incidents. Website content is provided "as is" to the fullest extent permitted by law.

13. Limitation of liability

To the fullest extent permitted by law, Zenith Monitoring is not liable for indirect, consequential, or special losses (including loss of profits, revenue, data, goodwill, or business interruption). Total liability arising from a project is limited to the fees paid or payable for that specific project engagement, unless otherwise required by law.

Nothing in these terms excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.

14. Termination

Either party may terminate an engagement as set out in the relevant written project agreement. Rights and obligations intended to survive termination (including confidentiality, payment, and liability provisions) continue.

15. Acceptable use of website

  • Do not use the website unlawfully
  • Do not attempt unauthorised access to systems
  • Do not interfere with website security or operation
  • Do not transmit malicious code

16. External links

This website may contain links to third-party websites. We are not responsible for their content, availability, or policies.

17. Data protection

Where personal data is processed as part of service delivery, the parties may enter a separate Data Processing Agreement where legally required.

18. Governing law and jurisdiction

These terms are governed by the laws of Northern Ireland and the United Kingdom. The courts of Northern Ireland have jurisdiction unless otherwise agreed in writing.

19. Changes to these terms

We may update these terms from time to time. The latest website version applies from the stated "Last updated" date unless a separate signed agreement provides otherwise.
